1031 exchange into Dubai
Sell abroad. Buy in Dubai. Defer the tax.
If you are a US taxpayer selling investment property anywhere outside the United States, including Dubai itself, the gain can be exchanged into Dubai property tax deferred. The proceeds rest in a qualified intermediary's escrow, Castilion sources and closes the Dubai property inside the deadlines, and the US tax waits.

- DeferredUS capital gains tax on the sale is deferred, not paid, when the exchange completes
- 45 daysFrom the sale closing to identify the Dubai property in writing
- 180 daysFrom the sale closing to own the Dubai property, title registered
- 0%UAE tax on the rent and on the eventual gain for individuals
Who this is for
Any investment property outside the United States.
The rule is foreign for foreign. Where the property sits does not matter; that it is outside the United States and held for investment does.
Europe to Dubai
London, Lisbon, Paris, Berlin.
A US taxpayer selling a buy to let in Kensington or an apartment in Lisbon can roll the full proceeds into a Dubai Marina or Palm Jumeirah residence and defer the US tax on the gain.
The Americas to Dubai
Toronto, Mexico City, São Paulo, Panama.
Investment property in Canada or Latin America is foreign real property for US purposes. Sold through an intermediary, the proceeds can be exchanged into Dubai within the deadlines.
Dubai to Dubai
Trade up without the US tax bill.
Already holding a Dubai apartment? Sell it, hold the proceeds in escrow and exchange into a larger residence, a villa or a whole floor. The UAE charges no tax on the gain, and the US tax is deferred.
Asia and the Gulf to Dubai
Singapore, Hong Kong, Riyadh, Doha.
Any investment property outside the United States qualifies as like kind with Dubai property. The country does not matter; the use does.
How the deferral works
The money never touches you. That is the whole mechanism.
A 1031 exchange swaps one investment property for another without triggering the US capital gains tax. Because the sale and the purchase are treated as one exchange, the gain carries into the new property's basis instead of being taxed now. Done again on the next sale, it carries again.
The law does not let you hold the money in between. A qualified intermediary receives the sale proceeds into escrow, you identify the Dubai property within 45 days, and the intermediary pays the Dubai seller at completion within 180 days. Castilion's job is to make the Dubai side land inside those two windows.
What has to be true.
- You are a US taxpayer: a citizen, a green card holder or a US entity that reports the gain to the IRS
- The property you are selling is outside the United States and was held for investment or business use
- A qualified intermediary holds the proceeds from the day of the sale; the money never reaches you
- The Dubai property is identified in writing within 45 days and acquired within 180 days of the sale
- The Dubai property is held for investment, not as your home
What breaks it.
- Taking any of the proceeds yourself, even for a day, before the intermediary holds them
- Buying for less than you sold for, or paying off a mortgage without replacing the debt: the difference is taxed
- Missing day 45 or day 180; neither deadline can be extended, except by a federal disaster declaration
- Moving into the Dubai property or letting family use it as a home
Your deadlines
Two dates decide everything.
Enter the closing date of the property you are selling, or expect to sell. The clock starts that day.
- Day 45Identification letter to the intermediary
- Day 180Title registered in Dubai
Both periods run in calendar days from the closing date, weekends and holidays included. The 180 day period ends sooner if your US tax return for the year of the sale falls due first, unless you file an extension. For a closing on this date that applies: speak to your US adviser about an extension before you sell.
The sequence
Six steps, in order.
The intermediary runs the exchange and your US adviser signs off the tax. Castilion runs Dubai.
Before you sell
Appoint a qualified intermediary and sign the exchange agreement before your foreign sale closes. Tell Castilion your expected closing date so the Dubai search starts early.
Closing to escrow
The buyer's funds go to the intermediary's escrow account, never to you. Day one of the 45 and 180 day clocks is the closing date.
Identify by day 45
Name up to three Dubai properties in writing to the intermediary. Castilion prepares the shortlist and the property details for the letter.
Contract and diligence
Castilion negotiates the price, agrees the sale and purchase agreement and clears the developer or owner's no objection certificate.
Close by day 180
The intermediary pays the seller at completion. Title is registered with the Dubai Land Department in your name or your entity's.
File Form 8824
Your US adviser reports the exchange on Form 8824 with your return for the year of the sale. The deferred gain carries into the Dubai property's basis.
Who does what
One Dubai advisory, working to your intermediary's calendar.
Castilion, in Dubai.
- A shortlist of qualifying Dubai properties inside the 45 day window, with alternates for the identification letter
- Due diligence on title, service charges, tenancy and developer status before you identify
- Negotiation, the sale and purchase agreement and the no objection certificate, structured so the intermediary pays the seller directly
- Completion and title registration at the Dubai Land Department inside the 180 day deadline, with the deed in your name or your entity's
- Letting and management after completion, so the investment use is clear from day one
Your US team.
- Your qualified intermediary drafts the exchange agreement, holds the escrow and receives your identification letter
- Your US tax adviser confirms the property qualifies, the entity that should take title and files Form 8824 with your return
- Your UAE lawyer, if you appoint one, reviews the sale and purchase agreement and any entity structure
Castilion is a licensed Dubai real estate advisory. We are not a qualified intermediary and not a US tax adviser, and we work alongside yours. If you do not yet have an intermediary, we can introduce firms that handle foreign exchanges.
The one exception
US property cannot be exchanged into Dubai.
Section 1031(h) of the Internal Revenue Code says that real property in the United States and real property outside it are not like kind. If the property you are selling is in the US, no escrow arrangement changes that. Our US investors page sets out the three routes that do work: exchange within the US and buy Dubai separately, pay the US tax and invest the net, or keep the US asset and finance Dubai with a UAE mortgage.
Questions
The 1031 exchange, answered.
Who can use a 1031 exchange into Dubai?
US taxpayers only: citizens, green card holders and US entities who report worldwide gains to the IRS. A 1031 exchange defers US tax, so an investor with no US tax to pay has nothing to defer and simply buys.
Does a Dubai to Dubai exchange qualify?
Yes. Both properties are real property outside the United States and, if both are held for investment, they are like kind. The UAE levies no capital gains tax on individuals, so the US tax is the only tax in play and the exchange defers it.
Can I exchange my US property into Dubai?
No. Under section 1031(h), real property in the United States and real property outside the United States are not like kind. Our US investors page sets out the three routes that do work for US property.
Can the proceeds sit in my own account for a few days?
No. If you receive the proceeds, or can draw on them, the exchange fails. The regulations require a qualified intermediary to hold the funds under a written exchange agreement from the moment the sale closes.
Can I buy an off plan property?
It can be done, but a completed, titled property is the cleaner fit for the 180 day deadline. For an off plan unit the purchase and the interim registration must complete inside the window, and your US adviser must confirm that the interim registration meets the receipt test.
What if the Dubai property costs less than the one I sold?
The exchange still works, but the shortfall is taxed. To defer the whole gain the Dubai property must cost at least as much as the sale price, and any mortgage paid off at the sale must be replaced with new borrowing or fresh cash.
Can I use a UAE mortgage on the Dubai property?
Yes. New borrowing on the replacement property is normal in an exchange and helps replace any debt paid off at the sale. Our Mortgage Advisory team arranges non resident mortgages from UAE banks.
Can I live in the Dubai property?
Not as your home. Both properties must be held for investment or business use. Letting the property, through Castilion or otherwise, keeps the use clear.
What happens on day 181?
If title has not passed, the intermediary returns the proceeds and the gain is taxable in the year of the sale. Neither deadline can be extended except under a federal disaster declaration, which is why we start the Dubai search before your sale closes.
